Terms of Use

These Terms of Use ("Terms") govern the relationship between MRCY ("Developer") and users ("User") regarding the use of the iOS application "Umbric" ("App"). By installing or using the App, you agree to these Terms.
Article 1 (Application)
These Terms apply to all aspects of the relationship between the User and the Developer concerning use of the App. The Developer may establish additional rules ("Individual Rules"), which form part of these Terms. In the event of any conflict, Individual Rules take precedence unless otherwise specified.
Article 2 (Fees and Payment)
The App's basic features are available free of charge. Certain premium features ("Paid Features") are available via In-App Purchase through Apple Inc.
- Payments for Paid Features are processed through Apple's payment system. The Developer does not collect or store any payment information.
- Fees for Paid Features are non-refundable except as required by Apple's policies.
- Prices for Paid Features may change without prior notice.
Article 3 (Prohibited Activities)
Users must not engage in any of the following activities when using the App:
- Activities that violate laws, regulations, or public order and morality
- Activities related to criminal conduct
- Infringement of the Developer's or any third party's intellectual property rights
- Reverse engineering, decompiling, tampering with, or attempting unauthorized access to the App
- Unauthorized redistribution or commercial use of the App
- Actions that damage the reputation or credit of the Developer or third parties
- Providing benefits to antisocial forces
- Any other activities the Developer deems inappropriate
Article 4 (Suspension of Service)
The Developer may suspend or interrupt the App, in whole or in part, without prior notice to Users in the following cases:
- When performing maintenance or updates to the computer systems related to the App
- When provision of the App becomes difficult due to force majeure events such as earthquakes, lightning, fire, power outages, or natural disasters
- When the Developer otherwise determines that provision of the App is difficult
The Developer assumes no responsibility for any disadvantage or damage suffered by Users or third parties arising from the suspension or interruption of the App.
Article 5 (Usage Restrictions)
The Developer may restrict a User's use of the App without prior notice in the following cases:
- Violation of any provision of these Terms
- Any other case where the Developer determines that use of the App is inappropriate
The Developer assumes no responsibility for damages incurred by Users as a result of actions taken under this Article.
Article 6 (Disclaimer of Warranties and Limitation of Liability)
- The Developer makes no express or implied warranty that the App is free from defects in fact or law (including defects in safety, reliability, accuracy, completeness, fitness for a particular purpose, security, errors, or bugs).
- The Developer shall not be liable for any damages arising from the App, except in cases of willful misconduct or gross negligence on the Developer's part.
- The Developer assumes no responsibility for any transactions, communications, or disputes arising between Users and third parties in connection with the App.
Article 7 (Changes to the App)
The Developer may change, add, or discontinue the content of the App with prior notice to Users.
Article 8 (Changes to Terms)
- The Developer may modify these Terms without notifying Users when deemed necessary. However, changes that materially affect Users' rights will be communicated via the App's update notes or this page in advance.
- Continued use of the App after changes constitutes acceptance of the revised Terms.
Article 9 (Handling of Personal Information)
The Developer handles personal information obtained through the use of the App in accordance with the Privacy Policy.
Article 10 (Notice and Communication)
Notices and communications between Users and the Developer shall be made in the manner determined by the Developer. Important notices will be provided through App update notes or this page.
Article 11 (Prohibition on Assignment of Rights and Obligations)
Users may not assign or pledge as collateral their contractual position or any rights or obligations under these Terms to any third party without the Developer's prior written consent.
Article 12 (Governing Law and Jurisdiction)
These Terms shall be governed by and construed in accordance with the laws of Japan. Any disputes arising in connection with the App shall be subject to the exclusive jurisdiction of the court having jurisdiction over the Developer's place of business.
